Scope of Position

EDF Renewables North America is a market-leading independent power producer and service provider with over 35 years of experience. This Legal Counsel position is expected to be a strong project attorney, a great issue-spotter and a pragmatic business person. This position will be responsible for legal matters in connection with the development, construction, acquisition, financing, operation & maintenance and disposition of infrastructure and renewable energy projects. This position will have responsibility over various corporate and governance matters, management of outside legal counsel, business ethics, and document management.

Responsibilities
    Serve as the day-to-day legal lead for negotiations, drafting, and critical review of material agreements involving turnkey project sales, energy offtake agreements (PPAs, hedges, tolling agreement, ISDAs, NAESBs, etc.), and M&A and related transactions for infrastructure and renewable energy projects (potentially including solar, onshore and offshore wind, storage, hydrogen, biomass, biogas, nuclear, transmission, pumped storage and other energy projects).
  • Serve as the day-to-day legal lead for negotiations, drafting, and critical review of material project development and construction agreements involving permitting and environmental matters, interconnection and transmission agreements, equipment procurement and project construction (EPC) contracts, debt and tax equity financings, as well as operations and maintenance and asset management agreements.
  • Advise business units regarding diverse array of legal issues ranging from credit support matters, bankruptcy contingency planning to regulatory issues.
  • Review, draft, and negotiate confidentiality agreements, vendor and consulting agreements, guaranties, and other similar agreements related to assigned client group.
  • Manage matters that are in litigation or other dispute resolution
  • Serve as corporate secretary, attend board meetings and document corporate actions through resolutions and meeting

  • Manage compliance with internal company policies, FERC/NERC regulations, and other laws and permits applicable to energy projects under
  • Support project development, operations and maintenance and asset management businesses of company by providing legal counsel and advice in the normal course of business.

Qualifications
  • Requires JD or LLM from accredited law school in North America and a minimum of five years of experience in corporate law or in-house legal department.
  • Preferred candidates will be familiar with North American electric power markets and have a working knowledge of the legal and commercial issues involved in acquisition and sale of projects, project development, procurement, construction, financing and long-term operations and maintenance, including asset management.
