The Corporate Counsel (Technology Transactions) will provide legal expertise in matters relating to the operation of Aya Healthcare with a focus on handling SaaS/ technology transactions and other transactional commercial contract matters.

This position can be remote with a preference in PST / MST / CST time zone.

Responsibilities:

  • Review, draft, redline, negotiate, and approve for execution, Aya Healthcare's day-to-day business to business contracts and contract amendments, including agreements with clients, suppliers, and vendors, with a focus on technology and B2B transactions.
  • Develop and recommend improvements for standard contractual documents, templates, playbooks and clause libraries.
  • Assist internal clients with contract negotiation and RFP responses, as appropriate
  • Perform legal analysis and make recommendations on legal, contractual, risk, and compliance issues relating to SAAS lines, contract matters, and other strategic corporate matters.

Required Qualifications:

  • Must be admitted to the Bar and in good standing
  • Must have J.D. from ABA-accredited law school
  • 4+ years' experience dealing with transactional matters is highly preferred
  • Experience in healthcare, staffing, or services industry a plus
  • Preferred prior experience at a mid to large sized law firm and in-house legal department
  • Preferred experience working with contract management or document management software
  • Ability to work accurately in fast-paced environment and maintain a sense of urgency
  • Exceptional attention to detail
  • Strong negotiation skills
  • Excellent interpersonal relations

Compensation: Aya reasonably anticipates the pay scale for this position to bean annual salary of $180,000 to $200,000.

The pay scale for this position may vary if applicant possesses experience outside of what Aya reasonably anticipates for this position. Bonuses are subject to the role and your manager's discretion.
