Scope of Position

The Counsel will work closely with the head of the legal department of EDF Renewables Distributed Solutions, Inc. (DS or the Company) to support the legal needs of the Company and specifically, the engineering, procurement, and construction (EPC) team. Counsel will have demonstrated experience in drafting and negotiating construction documents, subcontractor agreements, operation and maintenance (O&M) agreements, long-lead equipment procurement agreements, and the respective ancillary documents of the foregoing agreements for distribution-scale solar photovoltaic electric generation facilities and storage projects. The Counsel will have relevant legal experience in the construction industry, knowledge of solar and storage industries, and the ability to work successfully with team members in a fast-paced work environment. The Counsel should be self-driven, able to manage multiple projects and priorities simultaneously, and be comfortable interfacing and collaborating with internal and external stakeholders. The Counsel will have sufficient legal knowledge and experience to be able to provide direct, relevant, and timely advice to internal stakeholders or to know how to find and convey that advice. The Counsel will be team-oriented and will demonstrate strong reasoning and communication skills, both oral and written.

Location: The ideal candidate will be local to our Columbia, MD or West Lebanon, NH office and will have hybrid flexibility. Remote may be considered for exceptional candidates in select areas.

Responsibilities
    70%: Draft, review, negotiate, and implement construction contracts, including management of multiple work streams to support business development. Proactively support the Company's EPC team to ensure successful project delivery/construction on an as needed basis with financing parties and other key stakeholders; provide risk and commercial support throughout the construction process on business-critical projects, including amendments or change orders as project or customer circumstances may require.
  • 10%: Provide general support to the Associate General Counsel with respect to legal matters across administrative departments; interpret and apply legal requirements to the business-in particular, laws, regulations, and rules relating to business activities, as well as implementation of policies, training, or other processes.
  • 10%: Work with the DS Legal Team to create and manage continuous improvement of internal contract forms, legal compliance (including corporate registrations and contractor licensing), and processes to support company operations and growth.
  • 5%: Collaborate with internal and external stakeholders to facilitate proactive implementation of risk mitigation.
  • 5%: Other duties as assigned.
Qualifications
  • JD Degree and member of a State Bar Association.
  • Admission to practice law and in good standing to practice law in at least one U.S. state.
  • A minimum of four (4) years of relevant legal experience, or such other experience with transactions and other legal matters as will enable the individual to provide concrete and effective legal advice.
  • Legal experience in either a law firm or in-house corporate setting.
  • Corporate commercial transaction and/or construction legal experience required.
  • Experience in energy infrastructure, renewable energy, electricity, EV charging, or similar industry, particularly solar or solar+storage strongly preferred.
  • Ability to travel upon request.
