Your next role as a Miracle Maker
Maravai LifeSciences is seeking a #MiracleMaker to join our Legal team as an Associate Director, Assistant General Counsel - Commercial Transactions. As an Associate Director, Assistant General Counsel - Commercial Transactions you will will serve as a key attorney for commercial and licensing transactions within the Maravai LifeSciences portfolio, working alongside other attorneys to provide legal services to Maravai's commercial teams. This position reports to the Deputy General Counsel - Commercial & Business Strategy and will work closely with the commercial team, R&D team and other cross-functional business partners. This attorney will play a critical role in shaping our rapidly growing legal and commercial organizations, negotiating important commercial transactions to support commercial growth while ensuring compliance with internal policies and applicable laws and regulations.
The Associate Director, Assistant General Counsel - Commercial Transactions will be solution-oriented, self-motivated, independent, poised, persuasive, and constructive. S/he will use excellent judgment, business acumen, and technical skill to resolve complex issues and advance corporate objectives.
The successful candidate will have experience advising on commercial and IP licensing transactions demonstrating expertise in developing practical solutions that balance competing legal and business considerations.
How you will make an impact:
- Serve as a key attorney for commercial and licensing transactions within the Maravai LifeSciences portfolio, advising commercial teams to ensure alignment to strategic direction and compliance with internal policies.
- Support the development and maintenance of standard forms of agreements, approved negotiating playbooks, and the software and processes for contract lifecycle management.
- Advise on a broad range of transactions, including in and out licensing agreements, product supply agreements, distribution agreements, complex service agreements, sponsored research agreements, collaboration agreements, general contractual matters and provisions related to proprietary rights, marketing, antitrust, confidentiality, government contracts, privacy, regulatory affairs, indemnity, liability, damages, warranty, anti-bribery, and import and export.
- Collaborate cross-functionally with internal teams including product management, commercial, finance, research & development and manufacturing to anticipate and resolve issues and facilitate world-class customer service.
- Monitor and administer contract review as well as other approval processes, escalations, policies, and contract playbooks.
- Support and resolve customer, supplier, and other commercial disputes.
- Support initiatives related to regulatory compliance and risk management.
- Handle multiple complex legal matters, and complete projects in a timely manner.
- Assist and support General Counsel and Deputy General Counsel - Commercial & Business Strategy on strategic projects.
- Performs other functions and duties as required
The skills and experience that you will bring:
- Juris Doctorate (JD) or foreign university equivalent and admission to practice law in at least one jurisdiction required.
- 5+ years of relevant legal experience, consisting of either large law-firm experience or in-house commercial contracting experience, or a combination of both.
- Exceptional written and verbal communication.
- Strong negotiation and interpersonal skills.
- Experience with laws and regulations applicable to contract manufacturing operations (including GMP).
- Demonstrated ability to deliver strong results with limited resources, under tight deadlines and with a high degree of accuracy.
- Strong understanding of commercial and financial implications of business transactions and strategy development processes.
- Team player capable of leading and participating within cross functional project teams to meet key milestones under tight timelines and stressful conditions.
- Experience in working with contract management software (CLM) systems.
- High degree of professionalism and ethical standards.
The anticipated salary range for this position is $150,000 - $247,000. In addition, highly competitive long-term incentives in the form of company equity, bonus participation, and company sponsored benefits are provided as part of the total compensation package. The salary offer will depend on multiple factors which may include the successful candidate's skills, experience and other qualifications, as well as the location of the role.
